Sean A. Côté is an associate in the firm’s Corporate and Real Estate & Lending Practice Groups.

Sean focuses his practice on corporate, transactional, and real estate matters, advising businesses, investors, and nonprofit organizations on structuring, governance, and complex transactions across a wide range of industries. He regularly counsels clients on entity formation and structuring, including corporations, limited liability companies, partnerships, and nonprofit entities, with an emphasis on long-term operational efficiency, tax considerations, and regulatory compliance.

His corporate practice includes the drafting and negotiation of commercial agreements, buy-sell and equity arrangements, operating and partnership agreements, and mergers and acquisitions involving closely held businesses. Providing practical, business-oriented legal guidance, Sean works closely with business owners and
stakeholders to navigate ownership transitions, succession planning, and strategic transactions.

In addition, he has significant experience advising nonprofit organizations on formation, governance, tax-exempt compliance, board and fiduciary matters, and operational structuring. He regularly assists nonprofit clients with organizational documents, restructuring initiatives, and regulatory filings, ensuring alignment with both federal tax requirements and state nonprofit law.

Sean represents physicians and healthcare professionals at every stage of their careers. He advises on employment agreements, practice formation, ownership transitions, and healthcare-related transactions, including the acquisition or disposition of medical practices and negotiation of professional services arrangements. His approach is tailored to protect both the economic and professional interests of healthcare providers while navigating the complexities of the highly regulated healthcare environment.

In his real estate practice, Sean represents clients in the acquisition, disposition, leasing, and financing of commercial and residential properties. He regularly drafts and negotiates purchase agreements, leases, and related transactional documents, and conducts detailed due diligence to support efficient and secure closings. His experience includes multi-party transactions, investment properties, and development-related matters.

Sean and his wife reside in Peters Township with their daughter. In his free time, he enjoys attending Steeler and Penn State football games, golfing, and spending time with family and friends.
